This seminar will focus on some of the recent trends in deal terms involving M&A transactions. These include requirements imposed by acquirers on representations, warranties and indemnities, in particular on privacy, anti-money laundering and environmental issues. Sell-side concerns include limitations on liabilities and ensuring the source of buyer funds from a KYC perspective. Other general trends relate to representations and warranties insurance.
