This lecture seeks to identify the role that corporate law has in supporting state regulation. It focuses on the two recent periods when the functions of company law were actively debated in policy circles and in academia. The first provides lessons that continue to be important for the design and development of corporate law. While the second, analyses a fundamental issue on the scope of company law and its relationships with other bodies of law, such as regulation.
